SUBSCRIPTION AGREEMENT SECURESME.COM – PKI AS A SERVICE

This Subscription Agreement (this “Agreement”) is a legal agreement between Cogito Group Pty Ltd, a corporation
registered in Australia (“Service Provider”), and you, either as an individual, company, or other legal entity
(“Subscribing Party”), effective as of the date you commence use of the service (the “Effective Date”). Service
Provider and Subscribing Party may be collectively referred to herein as the “Parties,” and each may be referred
to individually as a “Party.”

By using the service, subscribing party represents that subscribing party registered for the service from an
approved source and agrees to be bound by the terms of this agreement. If subscribing party is accepting these
terms on behalf of another person, company, or other legal entity, subscribing party represents and warrants
that subscribing party has full authority to bind that person, company, or legal entity to these terms. If
subscribing party declines to accept all terms and conditions set forth herein, subscribing party shall refrain
from using the service.

1. Service Nature and Automated Billing

Trial Periods and Authorisation Holds: If a free trial is offered, the Subscribing Party’s credit card may be
authorised (e.g., a temporary hold) to verify validity, but it will not be charged until the trial period ends.
If the Subscribing Party does not cancel before the trial expires, the full subscription amount will be charged
automatically. For services commenced partway through a billing period, charges will be prorated for
that initial period, aligning with the Payment and Suspension Policy outlined in Section 5.

SecureSME.com PKI as a Service is an automated service. By using the service beyond any applicable trial period,
the Subscribing Party acknowledges and agrees that billing will occur automatically in accordance with the
published Fee Schedule on the Website. All fees are non-refundable.

2. Additional Services and Charges

  • Enquiries submitted by the Subscribing Party will be charged at the professional services rate as published
    on the website.
  • These charges will appear on your next invoice and automatically deducted from your credit card.

3. No Liability and No Guarantees

No Warranties: SecureSME.com is provided on an “as is” and “as available” basis without warranties of any
kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or
non-infringement.

No Liability: Cogito shall not be held liable for any damages, losses, or claims arising from the use of
the service, including but not limited to:

  • Service interruptions, delays, or outages.
  • Security incidents, data breaches, or data loss.
  • Errors or inaccuracies in service output.

Indemnification: The Subscribing Party agrees to indemnify and hold harmless Cogito against any claims
arising from the Subscribing Party’s use or misuse of the service.

4. No Responsibility for Subscribing Party’s Use

  • The Subscribing Party is solely responsible for how the service is used, implemented, and maintained.
  • Cogito does not provide security administration, compliance, or operational support unless explicitly agreed
    upon under a separate professional services contract.
  • The Subscribing Party acknowledges that they are solely responsible for ensuring the service meets any
    regulatory, security, or operational requirements applicable to them.

5. Payment and Suspension Policy

  • Billing Frequency: Most services are billed monthly in advance, as per the published Fee Schedule.
  • Pro Rata Charges: If the Subscribing Party initiates a service partway through a billing period, charges
    for that service will be prorated for the initial billing cycle. From the subsequent billing cycle, the service
    will be billed at the full standard rate.
  • Failed Payments: If payment is not received when due, the service will be automatically suspended without notice.
  • Reactivation: To restore access to the service, the Subscribing Party must settle all outstanding invoices.
  • No Prorated Refunds: If the Subscribing Party discontinues a service partway through a prepaid billing period,
    no refunds or credits will be issued for the unused portion of that period.

6. Modification of Terms

  • Cogito reserves the right to modify these terms at any time.
  • Changes will be published on the Website, and continued use of the service constitutes acceptance of the
    modified terms.

7. Termination

  • The Subscribing Party may terminate this agreement by ceasing to use the service and ensuring all
    outstanding invoices are settled.
  • Cogito may terminate this agreement at any time for:
    • Violation of terms.
    • Non-payment.
    • Abuse or misuse of the service.
  • Upon termination, the Subscribing Party must cease all use of the service. Data may be deleted upon
    termination.

8. Governing Law and Disputes

  • This Agreement is governed by the laws of the Australian Capital Territory, Australia.
  • Any disputes shall be resolved in the courts of the Australian Capital Territory.

CREDIT CARD PAYMENT AGREEMENT SecureSME.com

This Credit Card Payment Agreement (“Agreement”) outlines the terms under which SecureSME.com will process
payments from customers who continue to use the service beyond the 14-day trial period. By using SecureSME.com
after the trial period, you acknowledge and accept these terms. No signature is required.

1. Authorisation & Acceptance of Terms

By using SecureSME.com beyond the 14-day trial period, you authorise SecureSME.com to debit payments from your
nominated credit card account via Stripe, our payment platform, in accordance with this agreement. Your
continued use of the service constitutes acceptance of these terms.

2. Payment Details

  • Trial Period: 14 days from the date of account activation
  • Billing Frequency: Monthly, in advance
  • Payment Amount: As specified in your service plan or invoice
  • Due Date: Payments will be deducted on the first day of each billing cycle following the trial period
  • Payment Processing: Payments are deducted at the commencement of the service period and then monthly.
    Payments will be processed via Stripe. Cogito will not retain any credit card information.

3. Updating Credit Card Details

You may update your credit card details at any time by logging into your SecureSME.com account. It is your
responsibility to ensure your credit card details are valid and up to date to avoid service interruption.

4. Failed Payments

If a credit card payment fails, your service will be suspended until the outstanding balance is cleared. We will
not notify you regarding failed payments. You are responsible for ensuring your payment method remains valid.

5. Cancellation

You may cancel your credit card payment at any time by ceasing use of the service. If you continue using the
service beyond the trial period, you accept that payments will be deducted automatically on a monthly basis in
advance.

We reserve the right to suspend or cancel services in cases of repeated failed payments or non-compliance with
this agreement.

6. Disputes and Refunds

If you believe a credit card payment has been processed incorrectly, please contact us immediately by submitting
a contact form on the homepage. We will investigate disputes promptly and, if an error is found to be on our end, a refund will be issued within 60 business days of
receiving formal written notice.

7. Privacy and Confidentiality

Your credit card details are processed securely via Stripe, and Cogito does not store or retain any credit card
information. Information will not be shared, except as required by law or for processing payments.

8. Agreement Acknowledgment

By continuing to use SecureSME.com beyond the 14-day trial period, you confirm that you have read and understood
this Credit Card Payment Agreement and authorise SecureSME.com to debit payments from your nominated credit card
account via Stripe.
